Please read these Terms and Conditions carefully before using the Botify platform. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

1. Introduction & Acceptance

  • Welcome to Botify! These Terms and Conditions ("Terms") govern your use of our SaaS platform, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you represent an organization, you confirm that you have the authority to bind it to these Terms.

2. Eligibility & Account Responsibility

  • You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.
  • You are responsible for all activities that occur under your account. You must safeguard your password, API keys, and other credentials. Do not share your account details with others.
  • You agree to notify us immediately of any unauthorized use of your account by contacting support@botify.in.

3. Acceptable Use Policy

  • You agree to use Botify only for lawful business purposes and in compliance with all applicable laws and regulations, including but not limited to:
  • **Meta's Policies:** You must adhere to the WhatsApp Business Messaging Policy and all other policies set by Meta Platforms, Inc.
  • **Anti-Spam:** You may not use the Service for sending unsolicited messages, spam, or any form of abusive or harassing communication.
  • **Prohibited Content:** You may not transmit content that is illegal, fraudulent, defamatory, or related to adult services, hate speech, misinformation, or predatory financial products.

4. Subscriptions, Billing, and Payments

  • **Billing Cycle:** Services are billed on a subscription basis, either monthly or annually, as selected in your plan. Fees are billed in advance.
  • **Auto-Renewal:** Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account dashboard or by contacting support.
  • **Late Payments:** If payment is not received on time, we reserve the right to suspend or terminate your access to the Service. Overdue payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law.

5. Returns and Refund Policy

  • **Non-Refundable Fees:** Due to the nature of our digital services, all fees paid for subscriptions and any add-on credits are non-refundable.
  • **No Prorated Refunds:** We do not provide refunds or credits for any partial subscription periods, unused time, or plan downgrades.
  • **Cancellation:** If you cancel your subscription, you will continue to have access to the service through the end of your prepaid billing period, after which your subscription will not renew.

6. Data Privacy and Ownership

  • **Your Data:** You retain all ownership rights to the data, content, and messages you transmit through the Service ("Customer Data").
  • **Our Role:** You are the "Data Controller," and Botify acts as your "Data Processor." We will only process your Customer Data to provide, secure, and improve the Service.
  • **Data Security:** We implement industry-standard technical and organizational measures to protect your data. For full details, please refer to our Data Processing Agreement (DPA).
  • **Data Retention:** Upon termination of your account, your data will be scheduled for deletion within 30 days, unless a longer retention period is required by law.

7. AI & Automation Features

  • Botify's AI features, including generative auto-replies and template builders, are provided to assist you. However, you are solely responsible for reviewing, validating, and using any AI-generated content.
  • You must ensure that your use of AI-generated content complies with all applicable laws and does not infringe on third-party rights.

8. Intellectual Property

  • All rights, title, and interest in the Service, including our platform, software, website, and brand assets, are the exclusive property of Botify and its licensors.
  • You are granted a limited, non-exclusive, non-transferable license to access and use the Service according to your subscription plan. You may not copy, modify, resell, or reverse-engineer any part of our platform.

9. Limitation of Liability

  • The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Botify disclaims all warranties, express or implied.
  • In no event shall Botify be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business interruption.
  • Our total liability to you for any claims arising from or related to the Service is limited to the amount of fees you paid to Botify in the three (3) months immediately preceding the event giving rise to the claim.

10. Suspension and Termination

  • We may suspend or terminate your access to the Service if you breach these Terms, fail to make timely payments, or if your usage violates Meta/WhatsApp policies.
  • Upon termination, your right to use the Service will cease immediately, all outstanding fees will become due, and any unused credits will be forfeited.

11. Governing Law and Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of India.
  • Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.

12. Modifications to Terms

  • We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website or by sending an email.
  • Your continued use of the Service after such changes constitutes your acceptance of the new Terms. The latest version will always be available at https://botify.in/terms.
